Only complete and valid entries will be eligible.  Eligible entrants agree that Sponsor shall retain full authority, in its sole discretion, to interpret and administer these Official Rules, and entrants agree to be bound by all decisions and interpretations made in good faith by the Sponsor, or its designee.

Prizes are not transferable. No substitution or cash redemption of any Prize, or any portion thereof, is allowed, except at the sole discretion of the Sponsor. Sponsor reserves the right to substitute any Prize with another prize of equal or greater value. Sponsor is not responsible for any inability of any winner to accept or use any Prize (or portion thereof) for any reason. No more than the stated Prize(s) will be awarded. Limit of one (1) Prize per person/family/household/address/email. Winner is solely responsible for all unspecified costs and expenses associated with Prize acceptance and use. Prizes are awarded “as is” with no warranty, representation or guarantee of any kind by Sponsor. Transfer of Prize is not permitted without the permission of Sponsor which may be granted or withheld in its sole discretion and without liability of any kind. A Prize value as stated represents Sponsor’s good faith determination of approximate retail value of prizes.

Each potential winner will be notified by e-mail (if provided) and/or mail or phone. In the event that Sponsor cannot contact a potential winner of any Prize despite reasonable (in its sole discretion) attempts, Sponsor may, in its sole discretion, randomly select a new, alternate potential winner from the remaining eligible entries received. Return of any Prize or prize notification as undeliverable will result in disqualification and an alternate potential winner may be selected in Sponsor’s sole discretion. The potential winner will be required to complete, sign and return to the address requested an Affidavit and Liability/Publicity Release within fourteen (14) days of receipt of the Prize Claim Documents. If such documents are not returned to Sponsor prior to such deadline, any Prize may be forfeited in Sponsor’s sole discretion, such potential winner shall be disqualified, and an alternate winner selected by Sponsor in a new random drawing from the remaining eligible entries. Except where prohibited by law, each winner also grants Sponsor and its designees the right to use the winner’s full name, hometown (city and state only), images and likenesses for advertising, publicity and promotion purposes, including print, broadcast and on-line announcements, without further compensation and at no expense to the winner, and Sponsor shall not be obligated to make any such use. Winners may be required to sign a separate publicity release as a condition of prize acceptance.

You acknowledge and agree that all materials (the “Materials”) provided by you (“You”) to Pure Fishing, Inc. (“Us”, “We”, “Our”) are and will remain Your property, and You hereby grant to Us a perpetual, non-exclusive, worldwide, royalty-free and fully paid-up right and license to use the Materials, in whole or in part, alone or in combination with other content, in any and all media whether now existing or later developed, without limitations.  Any materials that We create (or have created by a third party) which may incorporate the Materials, including without limitation e-newsletters, websites, press releases, media materials, social media content/posts and syndicated news features, shall be and remain Our property, and We will have the right to use, reuse, reproduce, copyright and exhibit them throughout the world, in all media and for any and all purposes in perpetuity. Materials may be used in whole or in part and may be paraphrased, amplified, shortened and/or put into conversational form.  You agree that You will have no right of consultation or approval in connection with the rights granted hereunder.

You have obtained all third-party rights, licenses, clearances, authorizations, permissions, consents and releases (collectively, the “Releases”) necessary for the grant of rights to Us as set forth herein, including, without limitation, with respect to any Materials to be displayed, published, performed or otherwise used by Us or on Our behalf as permitted herein.  For the avoidance of doubt, such Releases shall include those releases necessary to obtain and use any third-party marks, footage, images, or other work of authorship included within or embodied by the Materials (including any synchronization, publishing, public performance or other rights) and to use all creative elements, appearances, and all third-party materials comprising, embodied by, appearing in, or otherwise displayed as part of the Materials, including stock footage, artwork, trademarks, service marks, rights of publicity and indicia of identity, literary materials and music. 

You acknowledge and agree that We shall have no obligation to pay any compensation of any kind to You or any third party in connection with the Materials. 

You represent and warrant that You have all necessary rights to enter into this promotion and to grant the rights granted herein, and that the rights You have granted hereunder will not conflict with or violate any commitment, agreement or understanding You have or will have to or with, nor infringe upon any rights of, any person or entity.  This release shall be binding upon You, and Your heirs, legal representatives and assigns. 

Our usage of the Materials is expressly conditioned upon your acknowledgement and agreement to these terms and conditions.  You agree to accept these terms and conditions by selecting “Accept” below. 

Each winner is responsible for all applicable local, state and federal taxes, including income taxes.  Sponsor will issue winners of prizes valued at $600 or more an IRS Form 1099 , and winner agrees to fully cooperate in complying with applicable governmental reporting requirements. If requested by Sponsor, the potential winner will be required to complete, sign and return to Sponsor an IRS Form W-9 prior to receiving the Prize.  Failure to complete, sign and return a W-9 will result in the winner being disqualified, and in such case Sponsor may, in its sole discretion, select an alternate winner in a random drawing from remaining eligible entries.

By participating, each entrant agrees to release and hold harmless Sponsor and its employees, officers, directors, shareholders, representatives, agents, successors and assigns, from any liability whatsoever, for any claims, costs, injuries, losses, or damages of any kind (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional) arising out of or in connection with acceptance, possession, or use/misuse of any prize, participation in any promotion-related activity, or participation in the promotion, except for claims arising from Sponsor's gross negligence or willful misconduct. This release shall be governed by and construed in accordance with the laws of South Carolina.

Each entrant agrees to, accepts and shall abide by these Official Rules and agrees that any disputes shall be resolved by Sponsor, in its sole discretion.  Proof of submission is not proof of receipt. Sponsor reserves the right to cancel/terminate, modify, amend or suspend the. Sweepstakes void where prohibited or restricted by law. If any provision of this Sweepstakes shall be deemed to violate any federal, state or municipal law, it shall be amended to conform to such law and all other provisions shall remain in full force and effect.   Sponsor is not responsible for any typographical or other errors in the printing of these Official Rules, administration of this Sweepstakes or in the announcement of any winner(s) or prize(s).  In the event this Sweepstakes is cancelled, Sponsor reserves the right to conduct a random drawing to award the prizes from among all eligible, non-suspect, entries received prior to the time of the action or event warranting such cancellation.  Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of South Carolina, without giving effect to any choice of law or conflict of law rules. In addition, any dispute relating to the Sweepstakes (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in Richland County, South Carolina. Entrants hereby irrevocably consent to the personal jurisdiction of said courts.

Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as may be amended from time to time), currently located at [https://privacy.uglystik.com/privacy-policy]; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail only with respect to the conduct of this Sweepstakes.
